The sanofi-aventis Ordinary General Meeting was held on May 14, 2008 at the Palais des Congrès in Paris.

The shareholders listened to the presentations of Mr. Jean-François Dehecq (Chairman of the Board of Directors), Mr. Gérard Le Fur (Chief Executive Officer) and Mr. Jean-Claude Leroy (Executive Vice-President, Finance and Legal).

Voting results

At the meeting, the financial statements for the year ended December 31, 2007 were approved by the approximately 11,850 participating shareholders who were present, represented or voting by post. They also agreed to the distribution of a net dividend of €2.07 per share, corresponding to a 18.3% increase over the previous year. The dividend went ex-coupon on Euronext Paris on May 16, 2008 and was payed out May 21, 2008.

The General Meeting discussed the reappointment of thirteen members of the Board of Directors whose terms of office expired at the end of the General Shareholders’ meeting. It also approved the commitments in favor of Mr. Dehecq concerning the benefits to be paid in the event of his ceasing to hold office, and in favor of Mr. Le Fur concerning the benefits to be paid in the event of his ceasing to hold office or retiring.
