General meeting 2006

The combined general meeting held on May 31, 2006 gathered 1,846 sanofi-aventis shareholders at the Carrousel du Louvre in Paris.

The participants listened to the presentations of Hanspeter Spek (Executive Vice President Pharmaceutical Operations), Jean-Claude Leroy (Executive Vice President, Chief Financial Officer) and Gérard Le Fur (Senior Executive Vice President, Executive Vice President, Science and Medical Affairs). In his conclusion, Jean-François Dehecq (Chairman & CEO) confirmed the successful integration of the teams and emphasized that the objective of strong, sustainable and profitable growth had been surpassed in 2005.

He also announced that he would propose to the Board of Directors that the office of Chairman of Board of Directors and the office of Chief Executive Officer be separated, and that Gérard Le Fur be appointed as Chief Executive Officer as of January 1, 2007.

Voting results

At the meeting, the 17,975 shareholders who were present, represented or who voted by post overwhelmingly approved all resolutions. The general meeting notably agreed on the distribution of a net dividend of 1.52 euro per share, corresponding to a 26.7 % increase over the previous year. The total dividend payment of approximately 2.06 billion euros was distributed on June 7, 2006.
